What Is an Employer of Record (EOR) in India? How It Works

Every page ranking for employer of record India is written by an EOR vendor, and not one of them mentions the word “engineer”. That matters, because the rules that decide whether an EOR hire in India works for a software team, 60–90-day notice periods, IP assignment, equity, and the new Labour Codes’ effect on CTC, are exactly the ones those pages skip.

The basic employer of record India promise is well known. A foreign company can employ someone in Bengaluru or Pune within days, with no Indian entity, by letting a third party be the legal employer. What is less known is where that promise breaks for technical hiring: a senior backend engineer who joins on day 75 because of a notice-period buyout the EOR will not fund, an ESOP grant the EOR refuses to administer, or a CTC restructured by the Labour Codes that drops take-home pay and triggers a counter-offer.

This guide is for CTOs, VPs of Engineering and finance leads at US, UK and European tech companies deciding between an EOR, a contract staffing partner, direct contractors and their own entity for the first 5–50 engineers in India. It covers how the model works, what it costs in rupees and dollars for three salary bands, which statutory rules apply to engineers, and when an EOR stops being the right answer. Public figures are linked; the legal sections reflect the Labour Codes in force since November 2025, and counsel should confirm before you rely on them.

India added more than 500 new global capability centres in five years and now employs 2.36 million professionals across 2,117 centres, per the Zinnov-NASSCOM India GCC Landscape Report FY26. A growing share of those entrants start on an EOR before they own an entity, which is why the route is now a standard first step rather than a workaround.

TL;DR

This guide explains how an employer of record India arrangement works for hiring software engineers, what it costs, and where it fails. It is for technical and finance leaders at foreign companies hiring their first engineers in India.

The number that matters most: an EOR adds roughly ₹19,000–₹57,000 per engineer per month on top of CTC at current market fees, and the economics usually flip toward your own entity between 15 and 25 engineers.

By the end you will be able to read an EOR quote line by line, compare it against contract staffing and an entity, avoid the four engineer-specific traps vendors do not mention, and know what EOR meaning actually covers in Indian law.

What Is EOR in India?

An employer of record India arrangement is one where a locally registered third party becomes the legal employer of your Indian staff, runs payroll, provident fund, tax withholding and statutory compliance under its own entity, while you direct the work day to day. It lets a foreign company hire in India without a local entity.

The structure is tri-partite. You sign a service agreement with the EOR, the EOR signs an Indian employment contract with the engineer, and the engineer works for you under your management. Nothing in Indian law prohibits this; the employer of record India provider is simply the employer under its state’s Shops and Establishments Act and the central labour statutes. The practical issues sit in how the three contracts are drafted, which the guide on how to hire in India without an entity walks through alongside the contractor and subsidiary options.

The Core Problem: EOR Quotes Hide the Engineering-Specific Costs

Most quotes show a monthly fee and a payroll pass-through. They do not show the three costs that decide whether a 10-engineer team lands on time, and the EOR India market has been slow to price them.

First, notice periods. The statutory minimum is typically 30 days, which is what every vendor page quotes. In Indian IT the market norm is 60–90 days, and senior engineers at product companies are often on 90. A candidate who accepts on day 1 may join on day 75 unless someone funds a buyout, and most employers of record India agreements are silent on who does.

Second, counter-offers, which no employer of record India fee covers. Attrition inside India’s captives fell to 9% in 2025 per the EY India GCC Pulse Survey, which means incumbents are retaining aggressively. In most engagements we have run, 1 in 4 senior offers draws a counter during the notice period. An EOR will not manage that for you.

Third, CTC structure. The Labour Codes that took effect on 21 November 2025 require basic pay to be at least 50% of total remuneration, which raises provident fund and gratuity outflows and lowers take-home for engineers on allowance-heavy packages. An EOR will restructure the CTC to comply; whether it tells your candidate before the offer letter is another matter.

How an Employer of Record India Arrangement Works, Step by Step

The mechanics are simple once the three contracts are aligned. This sequence is the one that keeps a technical hire on schedule and is the basis for the employer of record India timelines further down.

  1. Sign the EOR service agreement. It should name you as beneficiary of all intellectual property, set the fee per employee per month, and state who funds notice-period buyouts.
  2. Scope the role and CTC in rupees. Fix basic at 50% or more of CTC, decide whether employer PF runs on full basic or the ₹15,000 statutory ceiling, and confirm the health cover included.
  3. Source and interview the engineer yourself or through a staffing partner. The EOR does not recruit. A partner that can hire remote developers to an interview-ready shortlist in 7–10 working days is what compresses the calendar.
  4. Issue the offer through the EOR’s entity. Good Indian employers send offer letters within 48 hours of the final round; you approve the IP and confidentiality clauses.
  5. Onboard: PAN, UAN, bank account, background check. PF registration and payroll setup take 1–5 working days; the join date is governed by the notice period, not the paperwork.
  6. Run monthly payroll and compliance. The EOR withholds TDS, deposits PF by the 15th, files quarterly TDS returns and issues Form 16 by 15 June; you receive one invoice.

The time to first hire is therefore 1–10 working days for the employer of record India mechanics and 30–90 days for the candidate’s notice. Your own entity typically takes 4–6 months to first payroll once you add incorporation, PAN/TAN, PF and ESI registrations, a bank account and a Shops and Establishments licence.

What the EOR actually handles for an engineer

  • Provident fund: 12% employee and 12% employer on basic, the employer share split 8.33% to pension (on a ₹15,000 ceiling) and 3.67% to PF; EORs commonly run PF on full basic for engineers.
  • ESI: 3.25% employer and 0.75% employee, only for gross wages up to ₹21,000 a month, so it rarely applies to software roles.
  • Gratuity: 15 days’ wages per completed year, after five years for permanent staff and one year for fixed-term employees under the Codes; accrued at about 4.81% of basic.
  • Statutory bonus: 8.33–20% under the Payment of Bonus Act, but eligibility stops at ₹21,000 a month, so engineer bonuses are contractual.
  • Professional tax, LWF, TDS and Form 16: state PT capped at ₹2,500 a year; LWF nominal; TDS deducted monthly against the FY2025-26 new-regime slabs with the ₹75,000 standard deduction.
  • Leave and maternity: earned, casual and sick leave per the state Shops and Establishments Act, 26 weeks of maternity leave, leave eligibility after 180 days under the Codes.
  • POSH and DPDP: an Internal Committee is mandatory at 10 or more employees and sits with the EOR’s entity; employee data falls under the Digital Personal Data Protection Act, whose Rules were notified with an 18-month phased compliance window.

How Much Does an Employer of Record Cost in India for Engineers?

Market fees for an employer of record India service run from about $199 to $599 per employee per month, a range visible in Skuad’s published comparison of its pricing against Deep, Remote and Multiplier. That fee sits on top of CTC, which in Indian convention already includes employer PF and gratuity. The table shows the monthly build-up for three engineer bands at an illustrative ₹95 per US dollar; use the live rate and your vendor’s actual fee.

Annual CTC band Monthly CTC Basic (50%) Employer PF inside CTC (12% of basic) Gratuity accrual inside CTC (4.81%) EOR fee (199–599) All-in monthly cost Approx. USD
₹12 lakh (mid-level) ₹1,00,000 ₹50,000 ₹6,000 ₹2,405 ₹18,900–₹56,900 ₹1,19,000–₹1,57,000 1,250–1,650
₹25 lakh (senior) ₹2,08,300 ₹1,04,200 ₹12,500 ₹5,010 ₹18,900–₹56,900 ₹2,27,400–₹2,65,400 2,390–2,790
₹45 lakh (staff / lead) ₹3,75,000 ₹1,87,500 ₹22,500 ₹9,019 ₹18,900–₹56,900 ₹3,94,100–₹4,32,100 4,150–4,550

The employer of record India fee is a 19–57% overhead on a ₹12 lakh engineer but only 5–15% at ₹45 lakh, so flat-fee EORs are proportionally cheaper for senior hires. Group health insurance, EDLI and PF admin charges are extra but small; ask for them as line items. For salary bands by role and city, the cost to hire software developer India benchmarks give the CTC inputs for this table. The alternative to a flat fee is a percentage of salary, usually 8–15%, which the breakdown of EOR pricing models compares against flat and tiered structures.

EOR vs Contract Staffing vs Contractor vs Own Entity for Developers

Every vendor page compares an EOR with a PEO or an entity. For a US or UK tech company that needs to hire software developers fast, the real alternative to an employer of record India is usually an Indian contract staffing partner, because it solves the problem an EOR does not: finding and retaining the engineer.

Route Legal employer Who recruits Time to productive engineer IP position Fits best
EOR EOR’s Indian entity You 1–10 days plus notice period Assigned to you via tri-partite agreement 5–25 hires, known candidates, long-term roles
Contract IT staffing Staffing partner’s entity Staffing partner 7–10 days to shortlist, then notice Assigned to you in the MSA Fast ramp, niche skills, replacement guarantee
Direct contractor None (self-employed) You Days Explicit assignment clause required Short projects, under 6 months, low control
Own entity or GCC Your Indian subsidiary You or an RPO 4–6 months to first payroll Owned outright 25+ hires, IP-heavy ER&D, multi-year

The two are not mutually exclusive. A common pattern is to ramp the first 10 engineers through contract staffing with a replacement guarantee, then convert the keepers onto an EOR or your entity. The interim markup is covered in IT contract staffing markup India, and the structural trade-offs in contract staffing vs permanent hiring vs C2H India.

EOR vs PEO in India

The terms are used loosely by Indian vendors. An employer of record India provider is the legal employer; a PEO co-employs staff your own Indian entity already employs. With no entity, a PEO cannot help you, whatever the brochure says.

Criteria EOR PEO
Needs your Indian entity No Yes
Legal employer The EOR Your entity, with the PEO as co-employer
Compliance liability Sits with the EOR Shared, with you ultimately liable
Typical fit Market entry, 5–50 staff Established entity outsourcing HR admin

The Things Vendor Pages Do Not Tell You About Hiring Engineers Through an EOR

Four issues come up in almost every engineering engagement and in almost no vendor documentation. Each is where the employer of record India contract needs a clause you will have to ask for.

Notice periods and buyouts

Indian IT contracts commonly carry 60–90-day notice. A buyout, where the new employer reimburses the candidate for unserved notice, is routine, typically costs one to two months of current basic, and is the single most common gap in employer of record India agreements. Decide in the service agreement whether the EOR advances it and invoices you, or you pay the candidate directly; the former is cleaner for tax, the latter faster.

IP assignment and non-competes

Under Section 17 of the Copyright Act, work created in the course of employment belongs to the employer by default, but the employer is the EOR, not you. The employment contract must assign IP onward to you with a waiver of moral rights under Section 57, and the service agreement must mirror it. Post-employment non-competes are void under Section 27 of the Indian Contract Act, so rely on confidentiality, non-solicitation during employment and garden leave. The controls set out in IP protection in GCC apply to employers of record India staff with one extra link in the chain.

Equity and ESOPs

Most EORs will not administer parent-company equity, because the FEMA overseas-investment rules frame ESOPs for employees of an Indian office or subsidiary of the foreign company, which an EOR employee is not. Where equity is granted, the perquisite is taxed at exercise and the employer must withhold TDS. Companies that need equity for senior engineers usually use cash long-term incentives or phantom units until they have an entity.

GST and permanent-establishment risk

Invoices billed to a foreign parent are generally structured as export of services and zero-rated for GST; invoices billed to an Indian group entity attract 18%. If EOR-employed engineers habitually conclude contracts for the parent, a permanent-establishment exposure can arise, so keep their remit to engineering delivery and get a tax opinion before the first client-facing hire under employer of record India.

What the Labour Codes Change for Engineer CTCs

The four Labour Codes came into force and changed three numbers in every payslip. Basic pay must be at least 50% of total remuneration, so a ₹25 lakh package that carried an ₹8 lakh basic moves to ₹12.5 lakh, raising PF and gratuity accrual and cutting take-home. Gratuity eligibility for fixed-term employees drops from five years to one. Leave eligibility begins after 180 days instead of 240.

The practical consequence for an employer of record India hire is a conversation with the candidate before the offer: show the new structure, explain that retiral benefits rose while in-hand fell, and price the CTC a few percent higher if you are competing with an incumbent that has not restructured. Overtime beyond normal hours is paid at twice the normal rate under the Codes, which rarely touches salaried engineers but matters for 24×7 support rotations.

State Rules That Differ Across India’s Tech Hubs

Employment terms are set partly by state law, and the employer of record India provider applies the rules of the state where the engineer is registered. Treat the table as orientation and confirm current figures with the EOR, since states revise slabs.

State (hub) Professional tax Leave regime Night-shift rules for women in IT/ITeS
Karnataka (Bengaluru) Up to ₹200 a month above the state threshold Karnataka Shops and Establishments Act Permitted with transport, security and consent conditions
Maharashtra (Pune, Mumbai) Up to ₹200 a month, ₹300 in February Maharashtra Shops and Establishments Act 2017 Permitted with safeguards
Telangana (Hyderabad) Up to ₹200 a month Telangana Shops and Establishments Act Permitted under IT/ITeS exemption
Tamil Nadu (Chennai) Half-yearly slabs, capped at ₹2,500 a year Tamil Nadu Shops and Establishments Act Permitted with conditions
Delhi and Haryana (NCR, Gurugram) No professional tax Delhi and Punjab (Haryana) Shops and Establishments Acts Permitted with safeguards

Register where the majority of the team sits; transferring an employee across states later triggers fresh registrations.

Real-World Application: Two Engineering Teams, Two Different Answers

A US SaaS company building its first 8-person Bengaluru team put the hires on an employer of record India provider but used a staffing partner to hire DevOps engineers and backend developers to interview-ready shortlists in 7–10 working days. The constraint was never the paperwork; it was the 60–90-day notice periods, absorbed by staggering start dates across one quarter rather than slipping the launch.

A UK fintech that had grown to 22 engineers on an EOR over 18 months ran the entity comparison and moved to its own subsidiary in Pune. The fee at that headcount was close to ₹1 crore a year, above the recurring cost of a small entity, and the move let the company grant real equity to its two engineering leads for the first time.

When an EOR Is the Wrong Choice: The Breakeven and the Transition

The honest answer vendors rarely give is that an employer of record India setup has a shelf life for most engineering teams. Deel’s 2026 India page puts first-year own-entity cost at roughly ₹32.5 lakh of setup plus ₹35 lakh recurring, against an EOR fee of about ₹6.2 lakh per employee per year, in its entity-versus-EOR cost comparison. On those figures, entity running costs are overtaken by EOR fees between 10 and 25 employees depending on your fee tier.

The transition has four moving parts. Employees resign from the EOR and are rehired by your entity with continuity of service written into the new contract, so gratuity and leave carry over. PF transfers on the existing UAN. Notice periods are waived by agreement. Equity can finally be granted directly. The EOR vs GCC India analysis sets out when to stop renting and start owning, the GCC vs EOR vs subsidiary comparison covers the entity choice, and the registration list sits in legal documents required for GCCs in India.

Past 25–30 engineers the question stops being “EOR or entity” and becomes how to structure a global capability center that owns its pipeline, which is where an IT staffing company in India or an RPO partner takes over the sourcing the EOR never did.

What Most Teams Get Wrong About Employer of Record India

Most teams treat the EOR as the hiring solution. It is the employment solution. An employer of record India provider removes the entity problem in days and does nothing about the sourcing problem, which in India’s senior engineering market is the one that costs you quarters. The teams that land on time pair the EOR with a recruiting engine, in-house, a staffing partner or recruitment process outsourcing, and negotiate buyouts, IP flow and equity substitutes into the service agreement before the first offer, not after the first resignation.

Pressure-Test Your Employer of Record India Plan Before You Sign

FAQ

Is EOR legal in India?

Yes. An employer of record is a registered Indian company that employs staff under central and state labour law and provides their services to a foreign client under a contract. Nothing in Indian law prohibits the structure; statutory obligations sit with the EOR as legal employer, and the service agreement governs IP, confidentiality and liability.

What does “employer of record” mean in India?

It means the entity whose name appears as employer on the contract, payslip, PF account and Form 16. Under employer of record India arrangements that entity is the provider’s Indian company, not the foreign client, which is why the EOR carries statutory liability while the client directs the work.

How much does an employer of record cost in India?

Published fees run from about $199 to $599 per employee per month, or 8–15% of salary on percentage models, on top of the engineer’s CTC. For a ₹25 lakh senior engineer that is an all-in cost of roughly ₹2.3–2.65 lakh a month, with PF and gratuity already inside the CTC.

What are the top EOR companies in India?

Deel, Remote, Rippling, Multiplier, Skuad and Oyster are the most frequently compared global providers, alongside India-based firms such as Wisemonk and Asanify. The right employer of record India choice for an engineering team depends on whether the provider funds notice buyouts, administers equity substitutes and supports a later move to your own entity.

Can a foreign company hire employees in India without an entity?

Yes, through an EOR, through a contract staffing partner whose entity employs the engineers, or by engaging independent contractors. Each route changes who holds IP by default and how much control you can exercise, so the choice should follow the role’s duration and sensitivity rather than speed alone.

Who issues Form 16 for EOR employees in India?

The EOR, as the employer that deducted TDS, issues Form 16 to each employee by 15 June following the financial year. The foreign client receives invoices, not tax forms, and has no TDS filing obligation for EOR staff.

What happens when I move employees from an EOR to my own Indian entity?

Employees resign from the EOR and are rehired by your entity with continuity of service written into the new contract, PF transfers on the existing UAN, and notice periods are waived by agreement. A staffing or GCC partner can run the transfer and the new entity’s registrations in parallel so payroll does not break.
